Scope of the Policy 1.1 This Policy applies to all users of the moove.xyz Platform, including visitors, wallet users, account holders, users of regulated products such as the Ramp Services (defined below), and counterparties who interact with moove.xyz's services, whether directly or through third-party integrations. 1.2 This Policy does not apply to third-party websites, services, protocols, or Licensed Partners that may be linked to or integrated with the Platform. moove.xyz is not responsible for the privacy practices of such third parties, and your use of a Licensed Partner's regulated service may also be governed by that Licensed Partner's own privacy notice. 1.3 In this Policy, "Ramp Services" means the fiat on-ramp and fiat off-ramp functionality made available through the Platform and provided by independent, licensed third-party providers (each a "Licensed Partner"), and "regulated products" means products made available through the Platform that require identity verification to access. As at the date of this Policy, the only regulated product is the Ramp Services (Moove Ramp). ## 2. Our KYC-Free-by-Default Approach 2.1 moove.xyz is, by default, a non-custodial and KYC-free Platform. For the core functionality of the Platform — including sending, receiving, swapping, and staking digital assets through your self-custodied wallet — we do not collect or require government-issued identification, biometric data, or other sensitive identity information, and you remain in full control of your wallet and identity at all times. 2.2 In respect of that core functionality, we do not collect or store, and cannot access: a. Wallet private keys, seed phrases, or passwords; \ b. Bank account or credit card numbers; or \ c. Government-issued identification or biometric identifiers. 2.3 Identity verification information is collected only where, and only for so long as, you choose to access a regulated product. As at the date of this Policy, that means only where you use the Ramp Services (Moove Ramp). If you do not use a regulated product, the categories of data described in Clause 4 (Identity Verification Data) do not apply to you. Where we do collect such data, we collect it on a need-to-know and data-minimisation basis, use it only for the purposes described in this Policy, encrypt and secure it, and never use it for any unauthorised purpose. ## 3. Technical and Usage Data We May Collect 3.1 In order to operate and improve the Platform, moove.xyz may collect limited technical, usage, and contact data from all Users, including but not limited to: a. Public blockchain addresses and transaction metadata; b. Device type, browser type, operating system, and language preferences; c. IP address, approximate geolocation, and time zone; d. Interaction data such as clicks, page views, and feature usage; e. Error logs and diagnostic information; f. Email addresses or contact details; and g. Business, personal, or operating address. 3.2 Where it is not collected as part of regulated-product verification, this data is collected in a pseudonymised or anonymised form where possible. ## 4. Identity Verification Data (Regulated Products Only) 4.1 Where you choose to access a regulated product (currently the Ramp Services), and to enable moove.xyz and the Licensed Partners to comply with applicable anti-money laundering, counter-terrorist financing, counter-proliferation financing, sanctions, and "know your customer" ("KYC") laws and requirements, we collect and process additional personal data, which may include: a. Your legal name; \ b. Date of birth and nationality; \ c. Email address and mobile telephone number; \ d. Residential or business address; \ e. Government-issued identification documents (such as passport, national ID, or driver's licence) and the data they contain; \ f. A photograph or "selfie"; and \ g. Biometric data, including a facial-geometry scan and related "liveness" data used to confirm that you are a real, present person and that you match your identification documents. 4.2 We collect this data directly from you and, where applicable, from identity-verification, sanctions-screening, and fraud-prevention service providers engaged to support the verification process. 4.3 We collect this data on a strict need-to-know and data-minimisation basis — only what is reasonably necessary to verify your identity, complete compliance screening, and provide the regulated product. ## 5. Roles: Data Controller and Processor 5.1 In respect of the Identity Verification Data described in Clause 4, moove.xyz acts as a data controller: we determine the purposes and means of processing that data for identity verification and compliance purposes. The relevant Licensed Partner may act as a separate or joint controller, and certain service providers act as our processors. Each Licensed Partner is responsible for its own processing of your data under the regulated service it provides to you. 5.2 We will only share Identity Verification Data with a Licensed Partner or service provider to the extent necessary to provide the regulated product, to complete verification and screening, or to comply with applicable law, and subject to appropriate contractual safeguards. ## 6. How We Use Your Data 6.1 moove.xyz may use the data described in this Policy for the following purposes: a. To operate, maintain, and improve the Platform and its features; \ b. To verify your identity and eligibility to access regulated products, and to perform KYC, sanctions, politically-exposed-person, adverse-media, device, wallet, and transaction screening and ongoing monitoring (regulated products only); \ c. To provide the Ramp Services and other regulated products, including by transmitting the necessary information to the relevant Licensed Partner; \ d. To monitor usage patterns and detect, prevent, and investigate abuse, fraud, financial crime, or security threats; \ e. To comply with applicable legal, regulatory, AML/CTF, sanctions, tax, and reporting obligations, and to respond to lawful requests from regulators, courts, or law enforcement; \ f. To analyse performance and user engagement for product development; and \ g. To communicate with users regarding their account, verification status, transactions, and Platform updates. 6.2 We process your biometric data solely to verify your identity and confirm liveness for the purpose of accessing regulated products and preventing fraud and impersonation. We do not use biometric data for any other purpose, do not use it for advertising or profiling, and do not sell it. 6.3 moove.xyz does not use your data for behavioural advertising, unsolicited marketing, or the sale of personal data. 6.4 We process data on one or more of the following legal grounds: a. Compliance with a legal obligation (e.g. KYC, AML/CTF, sanctions, and record keeping requirements); \ b. Performance of a contract, or steps taken at your request prior to entering a contract (e.g. providing a regulated product you have requested); \ c. Your explicit consent (which we obtain separately for the collection and processing of biometric data, and which you may withdraw, subject to the consequence that you will no longer be able to access the regulated product); and \ d. Legitimate interests (e.g. fraud prevention, security, and Platform optimisation), where not overridden by your rights. ## 7. Sharing of Data 7.1 moove.xyz does not sell, rent, or trade your data to third parties. 7.2 We may share data with: a. Licensed Partners, to the extent necessary to provide a regulated product you have chosen to use and to enable that Licensed Partner to meet its own legal and compliance obligations; \ b. Service providers who assist with identity verification, sanctions and fraud screening, hosting, analytics, or infrastructure, under strict confidentiality and data-protection obligations; \ c. Regulatory, supervisory, tax, or law enforcement authorities, if required by applicable law, court order, or lawful request, including for AML/CTF, sanctions, and Travel Rule purposes; and \ d. Third-party protocols or integrations you choose to interact with, in which case your data is shared directly and voluntarily by you. 7.3 moove.xyz shall not be liable for the privacy or data-security practices of any Licensed Partner or third-party service you choose to use in conjunction with the Platform. You are advised to review the privacy policies of any Licensed Partner or third-party service you engage with. ## 8. Cookies and Tracking Technologies 8.1 moove.xyz uses cookies and similar technologies (such as local storage and pixels) to enhance your experience on the Platform. These technologies help us maintain session state and user preferences, enable core Platform functionality, and collect anonymised usage analytics to improve performance and usability. 8.2 Cookies may be set by moove.xyz ("first-party cookies") or by third-party services we use ("third-party cookies"). The types of cookies we may use include essential cookies (required for the Platform to function), performance cookies (anonymised usage data), and functional cookies (preferences and settings). 8.3 You may disable cookies through your browser settings, although doing so may impair certain features. moove.xyz does not use cookies for advertising, retargeting, or behavioural profiling. ## 9. Data Retention 9.1 moove.xyz retains data only for as long as necessary to fulfil the purposes outlined in this Policy or to comply with legal obligations. 9.2 You acknowledge that, where we collect Identity Verification Data and other records in connection with a regulated product, applicable AML/CTF and financial-crime laws and Licensed Partner requirements require us (and the Licensed Partner) to retain certain records for a minimum period after the end of your relationship with us or after a transaction (typically five (5) to seven (7) years, depending on the applicable jurisdiction). During that period we are legally unable to delete such records on request. We delete or anonymise this data once the applicable retention period expires and it is no longer required. 9.3 We retain biometric data only for as long as necessary to complete and, where required, evidence the verification, and we delete or irreversibly anonymise biometric source images and templates once they are no longer required for the permitted purpose or the applicable retention period, whichever is the shorter consistent with law. 9.4 Public blockchain data is immutable and may be permanently recorded on-chain. moove.xyz does not control or delete on-chain data. ## 10. Data Security 10.1 moove.xyz implements reasonable and appropriate technical and organisational measures to protect data from unauthorised access, loss, misuse, or alteration. Identity Verification Data and biometric data are encrypted in transit and at rest, access is restricted on a need-to-know basis, and we apply appropriate safeguards to sensitive data. 10.2 No system is completely secure. You acknowledge that you use the Platform and transmit data at your own risk. 10.3 You are solely responsible for securing your wallet, private keys, devices, and account credentials. 10.4 In the event of a data breach affecting your personal data, moove.xyz will notify affected users and the relevant regulators in accordance with applicable laws and within the timeframes they require. ## 11. International Data Transfers 11.1 moove.xyz may process and store data in jurisdictions outside your country of residence, including Hong Kong SAR and other locations where our service providers and Licensed Partners operate. 11.2 Where we transfer personal data internationally, we apply appropriate safeguards as required by applicable data protection law. By using the Platform, you acknowledge that your data may be transferred to and processed in such jurisdictions. ## 12. Your Rights 12.1 Depending on your jurisdiction, you may have certain rights under applicable data protection laws, including: a. The right to access the data we hold about you; \ b. The right to request correction or deletion of your data; \ c. The right to object to or restrict certain processing activities; \ d. The right to data portability; and \ e. The right to withdraw consent where processing is based on consent (including consent to biometric processing). 12.2 These rights are subject to legal limits. In particular, where we are legally required to retain Identity Verification Data and related records for AML/CTF or other regulatory purposes (see Clause 9.2), we may be unable to delete that data, or to stop processing it, until the applicable retention period expires. By accessing or using the moove.xyz Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree to these Terms, you must not access or use the Platform. ## 1. Nature of the Platform 1.1 moove.xyz is a crypto-native technology platform that enables Users to send, receive, swap, and stake digital assets across multiple blockchain networks, and that provides Users with access to fiat on-ramp and fiat off-ramp functionality (the "Ramp Services") supplied by independent, licensed third-party providers (each a "Licensed Partner"). 1.2 In respect of digital asset send, receive, swap, and stake functionality, moove.xyz is non-custodial. All such transactions are initiated, authorised, and executed by the User through their self-custodied wallet. moove.xyz does not have access to, nor does it store, any private keys, seed phrases, or wallet credentials. 1.3 In respect of the Ramp Services, moove.xyz acts solely as a technology provider and aggregator that presents, in a single native interface, on-ramp and off-ramp services that are provided, executed, and settled by one or more Licensed Partners. moove.xyz is not the provider of the regulated activity itself: it does not buy, sell, exchange, convert, transmit, hold, or take custody of fiat currency or digital assets in connection with the Ramp Services, and it does not act as a money services business, money transmitter, remittance provider, exchange, broker, dealer, custodian, payment institution, bank, or financial institution. 1.4 The purchase, sale, conversion, transmission, custody, and settlement of fiat currency and digital assets under the Ramp Services are performed by the relevant Licensed Partner under that Licensed Partner's own licences, registrations, terms, and regulatory authorisations. The exchange rate, spread, settlement timing, transaction limits, supported assets, supported networks, supported currencies, and supported jurisdictions applicable to any Ramp transaction are determined and controlled by the relevant Licensed Partner. 1.5 moove.xyz is not a party to, and does not mediate, guarantee, underwrite, or assume responsibility for, any transaction between you and a Licensed Partner, between you and any other User, or between you and any third party, and does not guarantee the completion, timing, or outcome of any transaction. 1.6 moove.xyz is, by default, a KYC-free platform. You may access and use the Platform's core non-custodial functionality (including to send, receive, swap, and stake digital assets) without undergoing identity verification or providing personal identity information beyond the limited technical and usage data described in the Privacy Policy. Identity verification and "know your customer" ("KYC") requirements apply only where, and only for so long as, you choose to access regulated products that are made available through the Platform and provided by Licensed Partners. As at the date of these Terms, the only such regulated products are the Ramp Services (Moove Ramp). Should moove.xyz make further regulated products available in the future, the requirements of Clause 4 will apply to those products and the Privacy Policy will be updated accordingly. 1.7 Where you choose to access a regulated product, moove.xyz performs, or facilitates the performance of, identity verification and related compliance checks as described in Clause 4 and in the Privacy Policy, to the minimum extent necessary to provide that product and to comply with applicable law and Licensed Partner requirements. The performance of those checks does not make moove.xyz the provider of any regulated financial service, and does not create any custodial, fiduciary, advisory, or guarantor relationship between moove.xyz and you. ## 2. Eligibility 2.1 By using the Platform, you represent and warrant that: a. You are at least eighteen (18) years of age and have full legal capacity to enter into binding contracts; \ b. You are not a citizen or resident of, or located in, any jurisdiction where the use of the Platform or the Ramp Services is prohibited or restricted by applicable law, regulation, or sanctions regime; \ c. You are not a person or entity listed on, owned or controlled by a person listed on, or acting on behalf of a person listed on, any sanctions list maintained by the United Nations, the United States, the European Union, the United Kingdom, or the Hong Kong SAR; \ d. You will use the Platform and any Ramp Services only for your own account and for lawful purposes, and not on behalf of any undisclosed third party; and \ e. All information you provide to us, including identity verification information, is true, accurate, current, and complete, and you will keep it updated. 2.2 Access to the Ramp Services is additionally conditional on your successful completion of the identity verification and compliance requirements set out in Clause 4, and on eligibility criteria imposed by the relevant Licensed Partner. Access to the Ramp Services may be unavailable, limited, or withdrawn in certain jurisdictions, for certain Users, or at certain transaction limits, in each case at the discretion of moove.xyz or the relevant Licensed Partner. 2.3 moove.xyz reserves the right to restrict, suspend, or terminate access to the Platform or any part of it for any User who fails to meet the eligibility criteria set out in this Clause, or where required to comply with applicable law or a Licensed Partner requirement. ## 3. Acceptance of Terms 3.1 By accessing, browsing, or using the Platform in any manner, including but not limited to connecting a wallet, creating an account, submitting identity verification information, initiating a transaction, or interacting with any feature of the Platform, you expressly agree to be bound by these Terms, the Privacy Policy, and any additional terms applicable to specific features. 3.2 Where you use the Ramp Services, you may also be required to accept the separate terms of the relevant Licensed Partner. Those Licensed Partner terms govern the regulated service provided by that Licensed Partner and form a direct agreement between you and that Licensed Partner. In the event of a conflict between these Terms and a Licensed Partner's terms in respect of the regulated service, the Licensed Partner's terms govern that service. 3.3 moove.xyz may update these Terms from time to time. Updates will be published on the Platform, and Users will not necessarily be notified individually. Your continued use of the Platform constitutes your acceptance of the updated Terms. ## 4. Identity Verification, KYC and Compliance Screening 4.0 This Clause 4 applies only where you choose to access a regulated product made available through the Platform. As at the date of these Terms, the only such regulated product is the Ramp Services (Moove Ramp). If you do not use a regulated product, no KYC or identity verification is required and this Clause 4 does not apply to you. 4.1 As a condition of accessing the Ramp Services, and to enable moove.xyz and the Licensed Partners to comply with applicable anti-money laundering, counter-terrorist financing, counter-proliferation financing, sanctions, and "know your customer" ("KYC") laws and requirements, you agree to provide, and authorise moove.xyz to collect, verify, store, and process, identity and verification information, which may include your legal name, date of birth, email address, mobile telephone number, residential or business address, nationality, government-issued identification documents, a photograph or "selfie", biometric identifiers and biometric verification data (such as a facial geometry scan used for liveness and identity matching), and other information reasonably required for verification, screening, or risk assessment. 4.2 You expressly consent to the collection and processing of biometric data for the limited purpose of verifying your identity, confirming "liveness", and preventing fraud and impersonation, as further described in the Privacy Policy. You may decline to provide such information, but if you do, you will not be able to access the Ramp Services. 4.3 moove.xyz collects and processes the information described in this Clause on a need-to-know and data-minimisation basis, solely for the purposes of identity verification, compliance, fraud prevention, risk management, and the provision of the Ramp Services, and never for any unauthorised purpose. The information is encrypted and stored securely as described in the Privacy Policy. 4.4 You authorise moove.xyz to share the information described in this Clause with the relevant Licensed Partner, and with sanctions, watchlist, identity-verification, and fraud-screening service providers, in each case to the extent necessary to provide the Ramp Services and to comply with applicable law. You authorise moove.xyz and the Licensed Partners to perform identity, sanctions, politically-exposed-person, adverse-media, device, wallet, and transaction screening, and ongoing monitoring, on you and your transactions. 4.5 moove.xyz or a Licensed Partner may refuse, delay, suspend, limit, reverse where possible, block, freeze, report, or cancel any verification, account, transaction, or settlement where reasonably believed necessary to comply with applicable law, a Licensed Partner requirement, a sanctions or risk rule, or applicable risk policies, or where verification cannot be satisfactorily completed. moove.xyz shall not be liable for any loss, damage, or claim arising from any such action, and is under no obligation to provide advance notice or justification where prohibited or impracticable. 4.6 You agree to provide complete and accurate information promptly upon request, to keep your information current, and to cooperate with any verification, due diligence, audit, or information request made by moove.xyz or a Licensed Partner. Providing false, misleading, or incomplete information is a material breach of these Terms. ## 5. Third-Party Services and Licensed Partners 5.1 The Platform integrates with and relies upon third-party protocols, smart contracts, bridges, decentralised exchanges, staking providers, Licensed Partners, payment rails, banks, custodians, liquidity providers, identity-verification vendors, and other blockchain-based or off-chain services ("Third-Party Services"). 5.2 moove.xyz does not own, operate, or control any Third-Party Service or Licensed Partner, and does not assume responsibility for their acts, omissions, availability, performance, solvency, security, settlement, holding of funds or assets, regulatory standing, fees, exchange rates, or compliance. All interactions with, and all services provided by, Third-Party Services and Licensed Partners are at your sole risk and, where applicable, are governed by your direct agreement with the relevant provider. 5.3 moove.xyz makes no representations or warranties, express or implied, regarding the functionality, security, legality, continuity, or reliability of any Third-Party Service or Licensed Partner, including any Licensed Partner's holding, transmission, conversion, or settlement of fiat currency or digital assets. 5.4 Without limiting the generality of Clause 10 (Limitation of Liability), moove.xyz shall not be liable for any loss, damage, delay, freeze, seizure, non-settlement, mis-settlement, insolvency, data incident, regulatory action, or other failure attributable to a Third-Party Service or Licensed Partner, and you agree that your sole recourse in respect of the regulated service is against the relevant Licensed Partner. 5.5 You agree to fully indemnify and hold moove.xyz harmless from any and all claims, losses, damages, liabilities, or expenses arising from or related to your use of, reliance on, or interaction with any Third-Party Service or Licensed Partner. ## 6. Prohibited Activities 6.1 The User shall not use the Platform, the Ramp Services, directly or indirectly, to engage in, promote, or facilitate any activity that is unlawful, abusive, deceptive, or otherwise contrary to the purpose and integrity of the moove.xyz Platform, applicable law, or any Licensed Partner requirement. Without limitation, the following activities are strictly prohibited: a. Impersonation or Use of False Identity: The creation or use of a false identity, the use of another person's identity or identity documents, the provision of false, forged, or manipulated verification information, or misrepresenting affiliation with any person or group. \ b. Misleading Business Name or Branding: The use of any name, logo, domain, or branding that is deceptive, misleading, or likely to cause confusion with another business, product, or service, including unauthorised use of moove.xyz's trademarks or trade dress. \ c. Fraudulent Activities: Any conduct intended to defraud, deceive, or mislead other users, Licensed Partners, or third parties, including false representations, fake offers, or manipulation of transaction data. \ d. Money Laundering, Terrorist Financing and Sanctions Evasion: Using the Platform or the Ramp Services to launder funds, finance terrorism or proliferation, evade sanctions, structure transactions to avoid detection or reporting, or move proceeds of crime. \ e. Unusual or Suspicious Transaction Patterns: Engaging in transaction behaviour that is inconsistent with normal usage, including rapid, repetitive, or circular transactions, or transactions that appear structured to avoid detection or reporting obligations. \ f. Non-Delivery of Goods or Services: Accepting payment for goods or services and failing to deliver them in accordance with the agreed terms, or delivering materially different or defective goods or services. \ g. False Claims About Products or Services: Making untrue, exaggerated, or misleading statements about the nature, quality, origin, or availability of any product or service offered through or in connection with the Platform. \ h. Unresponsiveness After Payment: Failing to respond to reasonable communications from a counterparty after receiving payment, including ignoring refund requests, delivery confirmations, or dispute resolution efforts. \ i. Harassment or Abusive Behaviour: Engaging in any form of harassment, threats, abuse, or intimidation towards other users, moove.xyz personnel, Licensed Partners, or third parties. \ j. Scam or Phishing Attempts: Attempting to deceive users into revealing private keys, seed phrases, verification information, or other sensitive information, or directing users to malicious or fraudulent websites or smart contracts. \ k. Spam or Irrelevant Messaging: Sending unsolicited, repetitive, or irrelevant messages through any communication channel associated with the Platform. \ l. Circumvention of Platform or Compliance Tools: Attempting to bypass, disable, or manipulate moove.xyz's or a Licensed Partner's infrastructure, identity verification, screening, transaction limits, or risk controls. \ m. Off-Platform Transactions: Soliciting or encouraging users to complete transactions outside the moove.xyz Platform to avoid fees, terms, oversight, or compliance controls. \ n. Restricted, Sanctioned, or Unlawful Use: Using the Platform or Ramp Services for sanctioned persons or territories, illegal products or services, mixers or tumblers, darknet markets, stolen funds, unlicensed financial services, or any category prohibited by applicable law or a Licensed Partner's acceptable use policy. \ o. Violation of Platform Terms: Any breach of these Terms or any other policies, guidelines, or instructions issued by moove.xyz, whether directly or through automated tools, bots, or third-party services. 6.2 moove.xyz reserves the right, in its sole and absolute discretion, to investigate any suspected breach of this Clause and to take any action it deems appropriate, including: a. Restricting, suspending, or permanently terminating the User's access to the Platform; \ b. Reporting the activity to relevant law enforcement, regulatory authorities, or Licensed Partners; \ c. Disclosing relevant information to affected users, Licensed Partners, or third parties as permitted or required by law; \ d. Withholding, freezing, or reversing transactions where permitted by applicable law or a Licensed Partner requirement. 6.3 The User acknowledges and agrees that moove.xyz shall not be liable for any losses, damages, or claims arising from enforcement actions taken under this Clause, and that moove.xyz shall have no obligation to provide advance notice or justification for such actions where prohibited or impracticable. ## 7. Fees 7.1 The use of the Platform may be subject to transaction fees, protocol fees, bridge fees, staking fees, ramp fees, spreads, network fees, or other charges, which may be charged by moove.xyz, a Licensed Partner, or a network, as applicable. 7.2 Fees and spreads applicable to the Ramp Services may be set by the relevant Licensed Partner and may be embedded in the exchange rate or quote presented to you. All applicable moove.xyz fees are disclosed at [https://docs.moove.xyz](https://docs.moove.xyz), which forms an integral part of these Terms by reference. 7.3 You acknowledge and agree that fees, spreads, and exchange rates may vary depending on network conditions, market conditions, third-party integrations, Licensed Partner pricing, and service configurations, and that moove.xyz shall not be liable for any fee or rate fluctuations or third-party charges. ## 8. No Advice or Fiduciary Relationship 8.1 moove.xyz does not provide financial, investment, legal, tax, or accounting advice. All information provided on the Platform is for general informational purposes only. 8.2 You are solely responsible for evaluating the risks and merits of any transaction or interaction on the Platform and for obtaining independent professional advice as necessary. 8.3 No fiduciary, agency, partnership, joint venture, or custodial relationship is created between you and moove.xyz by virtue of your use of the Platform or the Ramp Services. ## 9. Risk Disclosure 9.1 You acknowledge and accept that the use of blockchain technology, digital assets, and fiat on/off-ramp services involves inherent risks, including but not limited to: a. Volatility in asset prices and values; \ b. Smart contract bugs or vulnerabilities; \ c. Network congestion or failure; \ d. Regulatory changes or enforcement actions; \ e. Loss of access to wallets or private keys; \ f. Irreversibility of blockchain transactions once broadcast or confirmed; \ g. Delay, reversal, chargeback, recall, failure, freeze, or non-settlement of fiat payments by banks, payment providers, or Licensed Partners; \ h. Loss of digital assets sent to an incorrect address, unsupported network, or incompatible wallet, which may be permanently unrecoverable; \ i. Suspension, limitation, or termination of Ramp Services by a Licensed Partner; and \ j. Insolvency, default, or operational failure of a Licensed Partner or other third party. 9.2 You agree that you use the Platform and the Ramp Services entirely at your own risk and that moove.xyz shall not be liable for any losses, damages, or claims arising from such risks. ## 10. Limitation of Liability 10.1 To the fullest extent permitted by applicable law, moove.xyz, its affiliates, directors, officers, employees, agents, and contractors shall not be liable to you or any third party for any: a. Indirect, incidental, consequential, special, exemplary, or punitive damages; \ b. Loss of profits, revenue, data, goodwill, or business opportunity; \ c. Damages arising from the use of or inability to use the Platform, the Ramp Services, or any Third-Party Service or Licensed Partner; \ d. Errors, omissions, or inaccuracies in any content or data; \ e. Acts or omissions of any third party, including other Users, Third-Party Services, and Licensed Partners; or \ f. Any loss, delay, freeze, seizure, non-settlement, mis-settlement, regulatory action, data incident, or insolvency attributable to a Licensed Partner or other third party. 10.2 To the fullest extent permitted by applicable law, in no event shall moove.xyz's total aggregate liability to you exceed the greater of (a) the total amount of fees paid by you to moove.xyz in the twelve (12) months preceding the event giving rise to the claim, and (b) one hundred United States dollars (US\$10). 10.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any non-excludable obligation under applicable data protection law. Where moove.xyz acts as a data controller, its obligations and liability under applicable data protection law are addressed in, and limited to the extent permitted by, the Privacy Policy and applicable law. ## 11. Indemnification 11.1 You agree to fully indemnify, defend, and hold harmless moove.xyz, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or in connection with: a. Your use of the Platform or the Ramp Services; \ b. Your breach of these Terms; \ c. Your violation of any applicable law or regulation, including AML, sanctions, or tax obligations; \ d. Your interaction with any Third-Party Service or Licensed Partner; \ e. Any content, data, or verification information submitted by you to the Platform, including any inaccuracy in or unauthorised submission of such information; and \ f. Any claim by a Licensed Partner or third party arising from your acts or omissions. ## 12. Intellectual Property 12.1 All intellectual property rights in the Platform, including but not limited to software, branding, logos, content, and documentation, are owned by or licensed to moove.xyz. 12.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for lawful purposes in accordance with these Terms. 12.3 You shall not copy, modify, distribute, reverse-engineer, or create derivative works based on any part of the Platform without moove.xyz's prior written consent. ## 13. Modifications to Terms and Platform 13.1 moove.xyz reserves the right to amend, update, or modify these Terms at any time, in its sole discretion. Any such changes shall be effective upon publication on the Platform. 13.2 Your continued use of the Platform following any such changes constitutes your acceptance of the revised Terms. 13.3 moove.xyz may also modify, suspend, or discontinue any part of the Platform, including any Ramp Service or the integration of any Licensed Partner, at any time without notice or liability. ## 14. Termination and Suspension 14.1 moove.xyz may, at its sole discretion and without notice, suspend or terminate your access to the Platform for any reason, including but not limited to breach of these Terms, failure or inability to complete identity verification, suspected unlawful activity, a Licensed Partner requirement, or to comply with legal, regulatory, or reputational obligations. 14.2 Upon termination, all rights granted to you under these Terms shall immediately cease, and you must discontinue all use of the Platform. Provisions which by their nature should survive termination (including Clauses 4, 5, 9, 10, 11, and 15) shall survive. ## 15. Governing Law and Dispute Resolution 15.1 These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. 15.2 You agree that the courts of Hong Kong SAR shall have exclusive jurisdiction to resolve any dispute or claim arising out of or in connection with these Terms or your use of the Platform. 15.3 Prior to initiating any court proceedings, the parties shall first seek to resolve any dispute in good faith through confidential arbitration administered by the Hong Kong International Arbitration Centre (HKIAC), in accordance with its rules then in effect. 15.4 Any dispute relating to the regulated service provided by a Licensed Partner (including the holding, conversion, transmission, or settlement of fiat or digital assets) is a matter between you and that Licensed Partner and is governed by your agreement with that Licensed Partner. ## 16. Force Majeure 16.1 moove.xyz shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labour disputes, regulatory changes, sanctions changes, technical failures, internet outages, blockchain forks or congestion, or the acts, omissions, outages, or suspensions of banks, payment networks, liquidity providers, custodians, or Licensed Partners. ## 17. Severability 17.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect. 17.2 The parties shall negotiate in good faith to replace any invalid or unenforceable provision with a valid and enforceable provision that most closely reflects the original intent of the parties. ## 18. User Conduct 18.1 Users of moove.xyz are expected to act in accordance with the Platform's values of independence, transparency, and action-driven engagement. 18.2 You agree to: a. Use the Platform respectfully and lawfully; \ b. Avoid abusive, deceptive, or exploitative behaviour; \ c. Cooperate with other users, moove.xyz, and Licensed Partners in good faith, including in respect of compliance and verification; \ d. Uphold the integrity of the Platform and its community. ## 19. Platform Availability and Beta Features 19.1 moove.xyz does not guarantee uninterrupted access to the Platform. Services may be suspended, restricted, or modified at any time due to maintenance, upgrades, network conditions, Licensed Partner availability, or other operational reasons. 19.2 moove.xyz may release features in beta or experimental form. Such features may be unstable, incomplete, or subject to change without notice. 19.3 moove.xyz shall not be liable for any loss or disruption resulting from Platform downtime, Licensed Partner downtime, or beta feature usage. ## 20. Privacy Policy Reference 20.1 Your use of the Platform is also governed by our Privacy Policy, available at [https://docs.moove.xyz](https://docs.moove.xyz). The Privacy Policy forms an integral part of these Terms and governs how we collect, use, store, share, and protect your data, including the identity verification and biometric data collected for the Ramp Services. ## 21.
